Overview
This role leads the corporate secretarial function, ensuring robust governance, regulatory compliance and high-quality board support across a portfolio of regulated and non-regulated entities. You will advise senior stakeholders on company law and governance best practice, oversee complex corporate actions and drive continuous improvement in service delivery.
Key Responsibilities
- Provide end-to-end corporate secretarial support, including board and committee meeting planning, agenda management, paper collation, minute-taking and action tracking.
- Advise directors and senior management on Singapore Companies Act requirements, corporate governance standards, and regulatory expectations relevant to financial services.
- Manage statutory compliance, including maintenance of statutory registers, preparation and filing of annual returns, resolutions, and other requisite submissions.
- Oversee incorporations, reorganisations, share allotments/transfers, capital reductions, liquidations and other corporate actions.
- Act as primary liaison with regulators, auditors, external counsel, banks and service providers on governance and corporate administration matters.
- Lead, mentor and develop a team; allocate workload, review deliverables and maintain quality control.
- Drive process improvements, standardisation of templates, and governance frameworks; maintain policies and procedures.
- Support KYC/AML and client due diligence processes where relevant, working closely with compliance and risk teams.
Requirements
- Degree-qualified; ICSA/CGI qualification (or equivalent) strongly preferred.
- 10+ years’ corporate secretarial experience, including a leadership/managerial remit, ideally within financial services, trust/corporate services, or a regulated environment.
- Strong working knowledge of Singapore Companies Act, ACRA filings, and board governance practices.
- Proven ability to manage complex, multi-entity portfolios and competing deadlines with excellent attention to detail.
- Excellent written and verbal communication skills, with confidence in advising senior stakeholders.
- High integrity, sound judgement, and ability to handle confidential information with discretion.
- Proficiency with corporate secretarial databases and Microsoft Office; experience improving workflows and controls.
